Arkhub Terms of Use

ARKHUB TERMS AND CONDITIONS (UNIFIED USER AND SALES AGREEMENT)

Jurisdiction: State of Wyoming, United States

This Agreement (“Agreement”) governs your use of the Arkhub.io platform (“Platform”), operated by Arkhub Inc., a Wyoming-based corporation. By creating an account or using any part of the Platform, you agree to be bound by these Terms and Conditions, including all role-based sections applicable to you.

1. Unified Access and Role-Based Use

1.1 Users may access the Platform through a single account that supports one or more roles:

• Educator
• Educational Organization (Portal Provider)
• Vendor (Product or Service Provider)
• Employer
• Reseller
• Student / Consumer

1.2 Role-specific functionality may require identity verification, contractual relationships, or platform authorization.

2. General Responsibilities of All Users

• 2.1 You agree to use the Platform in compliance with all applicable laws and regulations. 
• 2.2 You will not engage in activity that is misleading, unlawful, fraudulent, defamatory, discriminatory, or harmful to others. 
• 2.3 You are responsible for safeguarding your login credentials and for all actions taken under your account.

3. Transactions and Direct Agreements

• 3.1 When you purchase or sell on Arkhub, you may enter into a direct agreement with another User. Arkhub is not a party to such agreements and assumes no liability. 
• 3.2 Users are solely responsible for the accuracy, legality, and quality of what they sell or offer.

4. Educators, Vendors, and Portal Providers

• 4.1 You retain full ownership of your content, products, or services. 
• 4.2 You grant Arkhub a limited license to distribute, market, and facilitate transactions related to your listings. 
• 4.3 You affirm you have the rights to publish and distribute any material submitted. 
• 4.4 You agree not to upload unlawful, plagiarized, defamatory, or infringing material. 
• 4.5 You agree to indemnify Arkhub for any claims arising from your listings or user activity.

5. Payments and Payouts

• 5.1 Arkhub applies a platform fee to each transaction (standard: 25% for courses; variable for other offerings). 
• 5.2 Your net share is calculated after the platform fee. 
• 5.3 Payouts are processed instantly to your designated payment method (Stripe, Ethereum wallet, or bank account). 
• 5.4 You are responsible for setting and enforcing your own refund policy. Arkhub does not process refunds unless required by law. 
• 5.5 You are solely responsible for collecting, reporting, and remitting any applicable sales, use, VAT, or income taxes.

6. Resale and Commission Structure

• 6.1 You may authorize other users (“Resellers”) to resell your offerings. 
• 6.2 You must assign a single commission rate per listing. This rate is deducted from your net revenue. 
• 6.3 All resale commissions are paid instantly at the time of transaction. 
• 6.4 You remain responsible for the quality, compliance, and fulfillment of your listings.

Example:

• Sale price: $100
• Arkhub fee (25%): $25
• Net share: $75
• Reseller commission (20%): $15
• Final payout to you: (80% of 75%) $60

7. Revenue Splits with Invited Partners

• 7.1 You may designate collaborators (e.g., co-educators, service providers, CE partners) to receive a percentage of your net revenue. 
• 7.2 These partners are paid automatically and instantly upon each transaction. 
• 7.3 You control partner percentages and access through your dashboard. 
• 7.4 All allocations are based on net revenue (after Arkhub fees).

8. Blockchain Credentials and Verification

• 8.1 Arkhub may issue blockchain-based certificates or credentials for courses or programs. 
• 8.2 These credentials contain metadata and cryptographic hashes that are externally verifiable.

9. Platform Conduct and Content Standards

9.1 Prohibited conduct includes:

• Impersonation or fraudulent identity use
• Misuse of reviews or credential systems
• Posting offensive or illegal material
• Violating privacy, copyright, or trademark laws

10. Platform Modifications and Availability

• 10.1 Arkhub may change or remove features, tools, or services at any time. 
• 10.2 Access to the Platform may be interrupted due to maintenance or technical issues.

11. Data Privacy and Use

• 11.1 Arkhub only collects information necessary for account functionality, certification, and transactions. 
• 11.2 Blockchain entries cannot be edited or deleted once created.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Wyoming. All disputes will be resolved in state or federal courts within Wyoming.

13. Modifications to This Agreement

Arkhub may update these Terms from time to time. Changes are effective upon posting to the Platform. Continued use constitutes acceptance.

BY USING THE PLATFORM, YOU AGREE TO THESE TERMS AND CONDITIONS AND ANY ROLE-SPECIFIC OBLIGATIONS THAT APPLY TO YOU.
